01 Agreement to these terms
This website, www.maplempss.com, is operated by Maple MPSS Inc. (“Maple MPSS”, “we”, “us”), a company with its head office in Burlington, Ontario, Canada.
By accessing or using this site you agree to these Terms of Use. If you do not agree to them, do not use the site. If you are using the site on behalf of a company or other organisation, you confirm you have authority to bind that organisation, and “you” means both you and it.
These terms apply to the website only. They do not govern any sourcing, AI or other services we perform for you. Those are governed exclusively by the separate written agreement, quotation or purchase order signed for that work. Where that agreement conflicts with these terms, that agreement prevails.
02 What this site is not
The content of this site is for general information. It is not a quotation, not an offer to sell, not a commitment to capacity, price, lead time or tolerance, and not professional engineering advice. No contract is formed by browsing this site or by sending us an enquiry through it.
A binding commitment from Maple MPSS arises only from a written quotation or agreement signed by an authorised representative of the company. Descriptions of our services, capabilities, capacity and turnaround on this site are indicative and subject to change without notice.
Nothing on this site creates a partnership, joint venture, agency, employment, fiduciary or professional-adviser relationship between you and Maple MPSS.
03 Permitted use
You may view, download and print pages from this site for your own internal business purposes: evaluating whether to work with us, sharing a page with a colleague, or including a reference to us in an internal recommendation. That permission is personal to you, non-exclusive, non-transferable, and revocable at any time.
Any copy you make must keep all copyright, trademark and other proprietary notices intact.
04 What you may not do
You agree not to:
- copy, republish, redistribute, sell, licence or exploit any part of this site commercially, or frame or mirror it on another site, without our prior written consent;
- use any automated system (robot, spider, scraper, crawler or harvester) to access, extract or copy content from this site, or to compile a database from it;
- use content from this site to train, fine-tune or ground a machine learning or generative AI model, without our prior written consent;
- harvest email addresses or contact details from this site, or use our contact channels to send unsolicited commercial messages;
- attempt to gain unauthorised access to the site, its server, or any connected system or network, or probe, scan or test its vulnerability;
- interfere with the site’s operation, including by introducing malware or by imposing an unreasonable load on our infrastructure;
- circumvent, disable or interfere with any security or access-control feature;
- reverse-engineer, decompile or disassemble any part of the site, except where that restriction is prohibited by law;
- impersonate any person, or misrepresent your affiliation with any person or organisation;
- use the site for any unlawful purpose, or in breach of any applicable Canadian or foreign law, including export control and sanctions law.
We may investigate any suspected breach and may involve, and cooperate with, law enforcement.
05 Our intellectual property
All content on this site (text, page structure, design, layout, graphics, photographs, illustrations, diagrams, code, and the selection and arrangement of all of it) is owned by Maple MPSS or licensed to us, and is protected by the Copyright Act (Canada) and other intellectual property laws in Canada and abroad. All rights not expressly granted in clause 03 are reserved.
“Maple MPSS”, the Maple MPSS gear-and-maple-leaf logo, and “Custom Machine Manufacturing” as used with them are trademarks of Maple MPSS Inc. You may not use them without our prior written consent, except in a plain-text reference that accurately identifies us and does not suggest endorsement, sponsorship or affiliation.
Any other product names, company names, logos or marks appearing on this site belong to their respective owners and are used for identification only. Their appearance does not imply any endorsement or affiliation in either direction.
If you believe material on this site infringes your copyright, write to info@maplempss.com identifying the material and your basis for the claim, and we will investigate promptly.
06 Drawings and other material you send us
When you contact us you may send drawings, models, specifications, tolerances, quantities, existing quotations or other technical and commercial material. This clause governs what happens to it.
You keep ownership
You retain all rights in the material you send. We claim nothing in it. You grant us a limited, non-exclusive licence to use, copy and disclose it only as far as necessary to evaluate your enquiry, prepare a response, and (with your instruction) obtain quotations from manufacturing partners. That licence ends when we complete the enquiry, unless a signed agreement extends it.
How we treat it
We treat technical and commercial material you send as confidential. We do not publish it, use it as a reference or case example, or disclose it to anyone other than the people and partners who need it to respond to you. Our handling of any personal information within it is described in our Privacy Policy.
Ordinary email is not a secure channel, and no confidentiality agreement is in place between us until one is signed. If the material is genuinely trade-secret, tell us first and we will put an NDA in place before you send it. Do not send unsolicited ideas, inventions or proposals you expect to be treated as secret or to be compensated for.
Your warranties
You confirm that, for anything you send us:
- you own it or have the right to share it with us for this purpose;
- sharing it does not breach any confidentiality obligation, licence or third-party right;
- it does not contain malware and is not unlawful;
- you are not restricted from disclosing it to a company that operates in Canada and India, under export control, sanctions, or controlled-goods legislation.
That last point matters. If your drawings are subject to export control (Canadian controlled goods, US ITAR or EAR, or an equivalent regime), say so before you send them, so we can determine whether we are able to receive them at all.
Feedback
If you send us suggestions or feedback about this site or our services, we may use them freely and without obligation or compensation to you. Do not send feedback you want to keep rights in.
07 The interactive tools on the AI Services page
The demonstrations on our AI Services page are illustrations of how a workflow might behave. They run entirely in your browser; nothing you type is transmitted to us or stored.
They are simplified for demonstration. Their outputs are not advice, not a forecast, not an audit, and not a substitute for analysis of your own operation. Do not rely on anything they produce to make a business decision. Any decision you take after using them is yours alone.
08 Accuracy, examples and forward-looking statements
We take care to keep this site accurate, but content may become out of date and may contain errors or omissions. We may correct or change it at any time without notice and are under no obligation to update it.
Case examples, project descriptions, savings figures, lead times and performance numbers describe specific past situations. They are not typical, not guaranteed, and not a prediction of what we would achieve for you. Results depend on your parts, volumes, tolerances, timelines and supply chain. Statements about what we intend or expect to do are forward-looking and subject to change.
Where a page describes a capability, a partner network or a location, it describes our operating model in general terms rather than a commitment that any particular capability is available for your project on any particular date.
09 Links to other sites
This site links to third-party sites, including our own social media profiles. We do not control those sites, do not endorse their content, and are not responsible for them. Following a link is at your own risk, and the other site’s terms and privacy policy will apply once you arrive.
You may link to our home page from your own site, provided the link is fair, does not damage our reputation or take advantage of it, and does not suggest an association, approval or endorsement that does not exist. You may not frame our pages within your own. We may withdraw linking permission at any time.
10 No warranty
This site and its content are provided “as is” and “as available”, without warranty, representation or condition of any kind, whether express, implied, statutory or otherwise.
To the fullest extent permitted by law, we disclaim all implied warranties and conditions, including those of merchantability, merchantable quality, fitness for a particular purpose, durability, title and non-infringement.
We do not warrant that the site will be uninterrupted, timely, secure or error-free, that defects will be corrected, that it is free of viruses or other harmful components, or that its content is accurate, complete, reliable or current.
Some jurisdictions do not allow the exclusion of certain warranties. If you are in such a jurisdiction, some of the above may not apply to you, and this clause applies only to the extent the law permits.
11 Limitation of liability
To the fullest extent permitted by applicable law, Maple MPSS, its directors, officers, employees, contractors and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, business, opportunity, production, data or goodwill, arising out of or in connection with your use of (or inability to use) this site, whether the claim is framed in contract, tort (including negligence), strict liability or otherwise, and whether or not we were advised such damages were possible.
Our total aggregate liability arising out of or relating to this site and these terms will not exceed one hundred Canadian dollars (CAD $100).
This limit does not apply to liability that cannot be excluded or limited by law, including liability for fraud, fraudulent misrepresentation, gross negligence, wilful misconduct, or death or personal injury caused by our negligence.
If you are a “consumer” within the meaning of consumer protection legislation applicable to you (including Ontario’s Consumer Protection Act, 2002), nothing in these terms limits, waives or removes any right or remedy that legislation gives you, and the exclusions above apply only to the extent that legislation permits.
Liability for services we actually perform for you is governed by the signed agreement covering that work, not by this clause.
12 Indemnity
You agree to indemnify and hold harmless Maple MPSS and its directors, officers, employees, contractors and agents from any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of your breach of these terms, your misuse of the site, your violation of any law, or your infringement of any third party’s rights through material you send us.
13 Privacy
Our handling of personal information is set out in our Privacy Policy, which forms part of these terms. It explains what we collect, why, where it is stored, how long we keep it, and how to see or correct it.
14 Availability, and changes to these terms
We may change, suspend, restrict or discontinue any part of this site at any time without notice, and we are not liable to you if we do. We do not guarantee that the site will be available at any particular time or from any particular location.
We may revise these terms at any time by posting an updated version on this page with a new effective date. Changes take effect when posted, and apply to your use of the site from that point on. Your continued use after a change means you accept the revised terms. Check the effective date at the top of this page.
We may terminate or suspend your access to the site immediately and without notice if you breach these terms.
15 Governing law and jurisdiction
These terms, and any dispute or claim arising out of or in connection with them or with your use of this site (including non-contractual disputes and claims) are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, without regard to conflict-of-laws rules.
You agree that the courts of the Province of Ontario have exclusive jurisdiction, and you irrevocably attorn to their jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If you are a consumer resident in another Canadian province or territory, nothing in this clause deprives you of the protection of the mandatory laws of the place where you live, or of the right to bring proceedings there where that right cannot be excluded.
We make no representation that this site or our services are appropriate or available in any particular jurisdiction. If you access the site from elsewhere, you do so on your own initiative and are responsible for compliance with local law.
16 General
Entire agreement
These terms and the Privacy Policy are the entire agreement between you and Maple MPSS in relation to this website, and supersede any earlier understanding about it.
Severability
If any provision is found unenforceable, it will be read down to the minimum extent necessary, or severed, and the remaining provisions stay in full force.
No waiver
Our failure to enforce any provision is not a waiver of it, and does not prevent us from enforcing it later.
Assignment
You may not assign or transfer your rights under these terms. We may assign ours to a successor in connection with a merger, acquisition or sale of assets.
Survival
Clauses 05, 06, 10, 11, 12, 15 and 16 survive any termination of your access to the site.
Force majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including network or hosting failure, power failure, natural disaster, labour dispute, act of government, or armed conflict.
Language
It is the express wish of the parties that these terms and all related documents be drawn up in English. Les parties ont exprimé la volonté expresse que la présente convention ainsi que tous les documents s’y rattachant soient rédigés en anglais.
